Working with DF Luxury and scope of these terms

DF Luxury is operated by Duty Free International Co., Ltd. (referred to as “we”, “us” or “our”) and provides wholesale and commercial procurement services for products from international designer brands. These terms set out the principles governing the use of this website, the Buyer Portal and related business services, and transactions conducted through those services.

We work with online and physical retailers, boutiques, wholesalers, independent entrepreneurs, start-ups and other partners with wholesale, resale or commercial purchasing needs. Applicants may apply as a business or an individual according to their circumstances. We assess eligibility to work with us individually, based on the application information and purchasing needs.

In addition to the website and Buyer Portal, we communicate through email, WhatsApp, WeChat and LINE, taking into account the buyer’s location and communication preferences. Formal quotations, proforma invoices (PI) and other formal transaction documents are sent by email.

The products, quantities, prices, payment, delivery and other conditions of each transaction are governed by the transaction documents and arrangements agreed by both parties. Where the parties separately agree to special terms in writing, those special terms prevail to the extent that they conflict with these terms.

This website is hosted by Shopify. The platform collects and processes personal data from your visits and purchases, combining it with information about your interactions with other merchants and the platform to provide enhanced services such as personalisation, advertising and service improvements. We share relevant information with the platform and other service providers for these purposes; they may process it in countries outside your location.

For more information, see our Privacy Policy and the platform’s Consumer Privacy Policy. Its privacy portal explains how to exercise applicable rights, including opting out of or objecting to certain processing for enhanced services, or withdrawing consent.

    Buyer eligibility and account use

    Applications and review

Applicants must provide true and accurate information through the “Work With Us” form, complete the required fields, and provide a website, social media account or other publicly available information that helps us understand their business background. We will contact applicants based on their submissions to learn more about their business background and purchasing needs, and may request additional information that is reasonably necessary.

Buyer eligibility and cooperation arrangements are assessed individually based on the application information, communications, purchasing needs and history of working with us. Submitting a form, providing complete information or receiving product information does not mean that access to the Buyer Portal has been granted.

    Buyer Portal activation

Before activating Buyer Portal access, we may provide selection or order forms for specific brands according to an applicant’s needs, to confirm their purchasing requirements and establish a business relationship. As a general rule, applicants must first complete their initial transaction. We will then determine whether to activate Buyer Portal access based on the review outcome and the business relationship. Completing the first transaction does not automatically activate an account.

    Permitted account use and security

Buyer Portal accounts are linked to an approved email address, and users sign in using a verification code sent to that address. Permitted use depends on the approved account type:

    • Company accounts: Accounts applied for using an email address with a company domain and approved by us may be used by authorised personnel within that same company. The company must manage its users and ensure that they comply with these terms. When an employee leaves or their authorisation ends, the company must end that person’s access to the account. Changes to the approved email address or the permitted scope of account use must be referred to us. Access must not be provided to other companies, external businesses or unauthorised persons.
    • Individual accounts: Accounts applied for using a personal email address and approved by us, including those used by independent entrepreneurs, may be used only by the approved applicant personally. They must not be lent, transferred or shared with others.

Account holders must safeguard their email inbox, verification codes and sign-in information, and must not provide them to anyone outside the permitted scope of use. If an account holder discovers or reasonably suspects unauthorised use, they must contact us so that access permissions and related security matters can be addressed.

Use of information and sharing of forms

The Buyer Portal is provided for approved buyers to evaluate purchases and conduct transactions. Non-public quotations, selection materials and order information that we provide separately are intended for recipients to evaluate purchases and discuss transactions.

Recipients may share selection or order forms with other participants in a purchase to jointly meet minimum order requirements, in accordance with arrangements we communicated when providing the forms or otherwise agreed to. Sharing such forms does not grant other participants access to the Buyer Portal or permit the sharing of accounts, verification codes or sign-in information beyond the approved scope. Without our consent, the above non-public information must not be forwarded, published or provided to third parties unrelated to that purchase.

Scrapers, automated programs or similar tools must not be used to extract, collect or copy Buyer Portal data, regardless of the volume or frequency. Bulk extraction of platform data by other means, bypassing access restrictions and interference with system operations are also prohibited.

    Account restrictions, suspension and termination

Where there are reasonable grounds to suspect unauthorised account use, prohibited data extraction or a threat to system security, we may temporarily suspend or restrict account access while we investigate. Further access arrangements will be determined according to the findings and circumstances.

Depending on the circumstances and applicable law, we may suspend, restrict or terminate Buyer Portal access, or require a new review of buyer eligibility, in the following situations:

    • False or misleading application information is provided, or reasonably necessary verification information cannot be supplied.
    • An account is lent, transferred or shared beyond the approved scope of use.
    • Scrapers or automated programs are used to extract data, the information-use or sharing rules above are breached, or other abnormal use threatens system security.
    • There have been no actual transactions for an extended period, or purchasing enquiries, selection forms or order forms are repeatedly submitted without progressing towards an actual purchase.

For accounts with no transactions over an extended period, we will assess whether to continue providing access based on the history of working together, communications and actual purchasing progress.

Suspension or termination of account access does not automatically cancel confirmed orders. Existing orders, payments and after-sales matters remain subject to the relevant transaction arrangements and applicable law.

    03

Product information, quotations and order confirmation

    Product information and purchasing conditions

The website, selection forms and related product materials help buyers learn about and select products. The products, specifications, quantities and prices for individual transactions are governed by the transaction documents agreed by the parties and any prior authorisation to select products. Minimum order requirements, quotation validity and other purchasing conditions are governed by the individual quotation, proforma invoice (PI) or other written arrangements agreed by both parties.

    Authorised product selection and substitutions

Where a buyer authorises us in advance to select products and arrange substitutions for unavailable items within an agreed budget, brand selection and other purchasing requirements, we may adjust the product mix or arrange substitutions within that authorisation and will inform the buyer of the adjustments. Changes beyond the authorised scope require the buyer’s prior consent.

    Stock availability and order confirmation

After a buyer submits a product selection or order request, we will check stock availability and issue a PI accordingly. Stock availability may change at any time. Stock reservation arrangements and payment deadlines are governed by the PI or a separate notice. If payment is late, availability must be reconfirmed.

After the buyer confirms the PI and makes payment, we will check stock availability again and confirm the final product selection in accordance with the parties’ agreement or the scope of the buyer’s prior authorisation. Once the order is confirmed, we will issue a commercial invoice and packing list and provide further shipping information according to the transaction arrangements.

    Order changes and cancellation

Before confirming the PI and making payment, buyers may request changes to products, quantities or prices, subject to agreement by both parties. Once the buyer has confirmed the PI and made payment, the buyer may not cancel the order unilaterally, except as otherwise agreed by the parties, as provided below for unavailable items, or as otherwise provided by applicable law. Product selection and substitutions within the buyer’s prior authorisation follow the arrangements described above. Other changes require further agreement by both parties.

    Unavailable items and payment adjustments

If some products become unavailable due to changes in stock, we will notify the buyer. Where the buyer has given the product-selection and substitution authorisation described above, we will act within that authorisation and inform the buyer of the adjustments. In other cases, we will discuss the situation with the buyer, and substitutions and any related price differences require the buyer’s prior consent. If no substitution is ultimately arranged, the unavailable items will be removed from the order and payments already made for those items will be refunded. The remaining confirmed available items will be shipped as agreed. These arrangements do not affect the buyer’s rights under applicable law.

    04

    Payment, delivery and after-sales handling

    Payment arrangements

The payment method, currency, amount due and payment deadline are governed by the individual quotation, PI or written arrangements agreed by both parties. Buyers must pay using the confirmed payment details. Any changes to payment arrangements must be separately confirmed with us.

    Delivery arrangements

Unless otherwise agreed by both parties in writing, we primarily use EXW delivery terms and arrange transport in coordination with logistics providers with whom we have longstanding relationships. If other delivery or transport arrangements are required, the parties may discuss and confirm them separately.

The designated place of delivery, applicable edition of the Incoterms® rules, freight charges, customs clearance, related duties and taxes, and allocation of risk are governed by the individual PI or written arrangements agreed by both parties.

Buyers must provide accurate delivery and contact information. Estimated delivery times may be affected by logistics, customs clearance and other circumstances. If a significant change affects delivery, we will contact the buyer to explain the situation and discuss further arrangements.

Inspection on receipt and reporting issues

Buyers must inspect the goods within a reasonable period after receipt. If items are missing, incorrect, damaged or defective, please notify us promptly at contact@dfluxury.co or through the established business contact channel, and provide order information, a description of the issue and any available relevant photographs, packaging information or delivery records to assist our review.

We will consider information available from both parties, including the order, packing list, dispatch and logistics records, to verify discrepancies in products or quantities. We may ask the buyer for additional information that is reasonably necessary in the circumstances.

    After-sales handling

We will review reports of missing, incorrect, damaged or defective items based on the relevant information, delivery terms and cause of the issue. Where a product issue is verified to be our responsibility, we will arrange replacements or supplemental shipments as appropriate, or discuss other appropriate solutions with the buyer.

Loss, damage or shortages involving transport will be handled according to the relevant logistics or insurance arrangements, responsibility for the issue and applicable law. We may assist by providing relevant information or liaising with the parties concerned as needed. An issue may still be reported for review under this section if it is discovered only after receipt.

Investigation, replacement and related logistics may take time. We will handle the matter within a reasonable period and communicate progress to the buyer. Return or replacement arrangements and related costs will be handled according to the individual transaction arrangements, the circumstances and applicable law. This section does not affect the buyer’s rights under applicable law.

    05

Responsibilities, disputes and updates to these terms

    Scope of responsibility

We provide the relevant services in accordance with these terms and individual transaction arrangements. Buyers must assess purchasing and resale arrangements according to their own business needs. Unless otherwise agreed by both parties in writing, we do not guarantee any particular resale price, sales performance or expected profit. These terms do not exclude or limit any liability that cannot lawfully be excluded or limited.

    Events beyond reasonable control

If natural disasters, war, government restrictions or other events beyond reasonable control affect the performance of a transaction, we will notify the buyer where reasonably practicable and take reasonable steps to reduce the impact. We will discuss the timing and further arrangements for the affected part of the transaction with the buyer in light of the circumstances. Any unperformed part and related payments will be handled in accordance with the individual transaction arrangements and applicable law.

    Disputes and contact

If you have a question or dispute concerning these terms or an individual transaction, please contact us at contact@dfluxury.co or through the established business contact channel. The parties may seek to resolve the matter through good-faith discussions based on the transaction documents and relevant records. If no agreement is reached, the matter may be pursued through the relevant procedures under applicable law.

    Updates to these terms

We may revise these terms in response to changes in our business, website functions or relevant requirements. We will indicate the revision date and effective date on this page and notify affected buyers by appropriate means depending on the nature of the changes. Revisions apply to transactions entered into under the revised terms after they take effect and to related use of the services. Confirmed orders remain governed by the arrangements agreed by both parties when the orders were confirmed, unless the parties agree otherwise or applicable law requires otherwise.
